1. Acceptance of Terms

These Terms & Conditions ("Terms") govern your use of the website weboadz.in and all services provided by Web o Adz (operated by VD Hosts), Mumbai, India ("Company", "we", "us", "our").

By visiting our website, submitting an enquiry, or entering into a service agreement with us, you ("Client", "you") acknowledge that you have read and agree to be bound by these Terms along with our Privacy Policy and Cookie Policy.

2. Services Offered

Web o Adz provides digital marketing, IT, and automation services including but not limited to:

• Social Media Management
• Search Engine Optimisation (SEO) & Content Marketing
• Performance Marketing (Google Ads, Meta Ads)
• Website Design & Development
• Brand Identity & Strategy
• WhatsApp & Email Marketing
• PR & Media Coverage
• AI Automation & Chatbot Solutions

The scope, deliverables, and timelines of each engagement are defined in the respective service agreement or proposal provided to the Client.

3. Client Obligations

To enable us to deliver our services effectively, you agree to:

• Provide accurate, complete, and up-to-date information required for the services.
• Grant us timely access to necessary platforms, accounts, and materials (social media logins, brand assets, content, etc.).
• Respond to communications and approval requests within reasonable timeframes (typically 48 hours).
• Ensure that all content and materials you provide do not infringe any third-party intellectual property rights, violate any laws, or contain false or misleading information.
• Make payments on time as per the agreed schedule.
• Not share your client dashboard credentials with unauthorised parties.

4. Payment Terms

Subscription Services

• Monthly subscriptions are billed in advance on or before the start of each billing cycle.
• Annual plans are billed upfront and offer a discounted rate.
• Services commence only upon receipt of confirmed payment.

One-Time Services

• A minimum of 50% advance payment is required before project commencement.
• The remaining balance is due upon project completion and prior to final delivery.
• PR & Media Coverage orders require full payment upfront.

Accepted Payment Methods

• All major debit/credit cards, UPI, Net Banking, and Wallets via Razorpay.
• Bank transfers (NEFT/RTGS) for enterprise clients by prior arrangement.

Late Payments

Invoices unpaid for more than 7 days beyond the due date may result in service suspension. A late fee of 2% per month may be applied on outstanding amounts.

5. Refund Policy

We stand behind the quality of our work. However, due to the nature of digital services:

• Subscriptions: Refunds are not applicable for the current billing month once services have commenced. You may cancel at any time and services will continue until the end of the paid period.
• One-Time Projects: If work has not yet commenced, a full refund of the advance payment is available upon written request. Once work has started, refunds will be assessed on a pro-rata basis based on work completed.
• PR & Media Coverage: No refunds once an article has been submitted to news channels. If an article is rejected by all channels due to quality issues on our end, we will rewrite and resubmit at no additional cost.
• Dispute Process: Refund requests must be submitted in writing to hello@weboadz.com within 7 days of the issue arising. We aim to resolve all disputes within 15 business days.

6. Intellectual Property

Client Content

You retain ownership of all content, brand assets, and materials you provide to us. By sharing these materials, you grant Web o Adz a non-exclusive licence to use them solely for the purpose of delivering your services.

Work Product

Upon full payment, all final deliverables created specifically for you (logos, website code, ad creatives, etc.) are assigned to you. Web o Adz retains the right to display this work in our portfolio unless you explicitly request otherwise in writing.

Web o Adz Property

All proprietary tools, templates, processes, methodologies, frameworks, and the content of this website remain the exclusive intellectual property of Web o Adz. You may not copy, reproduce, or distribute them without written consent.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information exchanged during the engagement. This includes business strategies, financial data, customer information, and technical systems. This obligation continues for 2 years after the termination of services.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• Web o Adz's total liability for any claim arising from our services shall not exceed the total fees paid by you in the 3 months preceding the claim.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.
• We are not responsible for outcomes dependent on third-party platforms (e.g., Google, Meta, Instagram) including algorithm changes, account suspensions, or policy updates that affect campaign performance.
• Marketing results are influenced by many external factors. We do not guarantee specific results (rankings, conversions, leads) unless expressly stated in a written SLA.

9. Disclaimers & Warranties

Our website and services are provided on an "as is" and "as available" basis. We make no warranty that:

• The website will be uninterrupted, error-free, or free of viruses.
• The results of using our services will meet your specific expectations.
• All information on the website is completely current and accurate at all times.

We make reasonable efforts to maintain accuracy and uptime and will notify clients of planned maintenance or service interruptions.

10. Termination

By the Client

You may cancel your subscription or terminate a project by providing 30 days written notice via email. No further billing will occur after the notice period.

By Web o Adz

We reserve the right to suspend or terminate services immediately if:

• Payment is overdue by more than 14 days.
• You breach any material term of these Terms.
• You use our services for illegal, unethical, or fraudulent purposes.
• Continued engagement poses legal, reputational, or security risks to us.

Upon termination, all outstanding payments become immediately due.

11. Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of India, including the Information Technology Act, 2000, the Indian Contract Act, 1872, and the Consumer Protection Act, 2019 (where applicable).

12. Dispute Resolution

In the event of any dispute arising from these Terms or our services, the parties agree to first attempt resolution through good-faith negotiation within 30 days of written notice. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra, India.

13. Amendments

We reserve the right to update these Terms at any time. Material changes will be communicated via email or a prominent notice on our website. Continued use of our services after such changes constitutes acceptance of the revised Terms.
